Terms of Use

These Terms of Use ("Terms") govern your access to and use of Stacklink's websites, applications, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

If you use the Services on behalf of an organization (a "Customer"), you represent that you have authority to bind that Customer, and "you" and "your" refer to both you and the Customer.

1. Definitions

  • "Account": a user account for the Services.
  • "Admin": a user authorized to manage a workspace (including users, integrations, sources, and settings).
  • "Customer Content": any content or data submitted to, uploaded to, synced to, or otherwise made available to the Services by or on behalf of a Customer, including documents, files, messages, metadata, prompts, and questions.
  • "Integrations": third-party services that may be connected to the Services (e.g., Google Drive, Slack, Microsoft services, messaging platforms).
  • "Output": responses or results produced by the Services, including AI-generated answers, summaries, and citations/links.
  • "Workspace": the tenant environment within Stacklink associated with a Customer.

2. Eligibility

You must be legally able to enter into a binding contract to use the Services. You may not use the Services where prohibited by law.

3. Accounts, Access, and Security

3.1 Account Registration

You agree to provide accurate information when creating or using an Account and to keep it up to date.

3.2 Credential Security

You are responsible for maintaining the confidentiality of login credentials and for all activities under your Account. You must promptly notify Stacklink of any suspected unauthorized access.

3.3 Workspace Administration

Admins may invite and manage users, connect Integrations and sources, configure access controls, and view operational data and logs available in the Services. Customers are responsible for Admin actions and for ensuring user access aligns with internal policies and permissions.

4. Use of the Services

4.1 Permitted Use

Subject to these Terms, you may use the Services for internal business purposes.

4.2 Restrictions

You will not (and will not attempt to):

  • Access, use, or interfere with another customer's workspace, data, or accounts.
  • Bypass or defeat security, access controls, rate limits, or tenancy/permission boundaries.
  • Probe, scan, or test the vulnerability of the Services or related systems without written authorization from Stacklink.
  • Reverse engineer, decompile, or attempt to derive source code, models, or underlying methods, except to the extent such restrictions are prohibited by law.
  • Use the Services to create, transmit, store, or distribute malware; exploit vulnerabilities; or disrupt systems.
  • Use the Services to build or provide a competing product or service, or to publicly benchmark the Services without Stacklink's prior written consent.
  • Scrape, bulk export, or systematically extract content from the Services except as explicitly allowed by the Services' functionality.
  • Misrepresent your identity, your affiliation, or your authority to act on behalf of a Customer.

Stacklink may suspend or restrict access for violations of these Terms or to protect the Services, Customers, or third parties.

5. Integrations and Third-Party Services

5.1 Your Authorization

If you connect an Integration, you authorize Stacklink to access and process data from that Integration as necessary to provide the Services (including syncing, indexing, retrieval, and responding in connected interfaces).

5.2 Your Responsibility

You are responsible for:

  • Having all rights, permissions, and lawful bases to connect the Integration and process related data.
  • Configuring scopes, source selection, allowlists, and permissions appropriately.
  • Complying with the third party's terms, policies, and applicable law.

5.3 Third-Party Services

Integrations and third-party services are not controlled by Stacklink. Stacklink is not responsible for third-party outages, policy changes, API changes, security failures, or other actions by third parties.

6. Customer Content, AI Features, and Output

6.1 Customer Content Ownership

As between Stacklink and the Customer, the Customer retains all rights in Customer Content. Stacklink does not claim ownership of Customer Content.

6.2 License to Provide the Services

You grant Stacklink a non-exclusive, worldwide license to host, store, process, copy, transmit, and create derivative works of Customer Content solely to:

  • Provide, maintain, and secure the Services;
  • Sync and index connected sources (including parsing, chunking, embedding, and retrieval);
  • Generate Output and present citations/links;
  • Provide support, prevent abuse, and enforce these Terms.

6.3 AI Processing

The Services may generate Output using retrieval and AI models based on Customer Content that is connected, indexed, or otherwise provided. Stacklink may use service providers (including model providers) to process prompts and retrieved excerpts in order to generate Output.

6.4 Output Limitations; Verification

Output may be incomplete, contain errors, omit context, or reflect limitations of underlying sources, retrieval, or model behavior. You are responsible for evaluating Output and determining whether it is appropriate for your use case, including for any decisions or actions taken based on Output.

6.5 Customer Obligations Regarding Content

You represent and warrant that Customer Content (and your use of it in the Services):

  • Does not violate applicable law or third-party rights (including privacy, confidentiality, IP, or contractual restrictions); and
  • Does not include content you are not authorized to provide to Stacklink or to process through connected systems.

6.6 Feedback

If you provide feedback or suggestions, you grant Stacklink a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate them without restriction or compensation.

7. Privacy

Stacklink's Privacy Policy explains how Stacklink collects and processes personal information. By using the Services, you agree to the Privacy Policy.

8. Plans, Fees, and Payment

If any portion of the Services is offered for a fee:

  • You agree to pay all applicable fees and taxes and to provide accurate billing information.
  • Stacklink may use a third-party payment processor; your payments may be subject to that processor's terms.
  • Stacklink may suspend or terminate access for non-payment.
  • Stacklink may change pricing or plan features prospectively by providing notice in the Services or through the billing flow.

9. Acceptable Use; Compliance

You agree to use the Services in compliance with applicable law, including export controls and sanctions laws. You may not use the Services for unlawful, harmful, or abusive activities, including harassment, rights violations, or unauthorized surveillance.

10. Service Availability; Changes; Beta Features

The Services may be unavailable at times, including for maintenance, upgrades, outages, or factors outside Stacklink's control. Stacklink may modify, discontinue, or add features. Some features may be offered as beta or preview; they may be unstable, may change materially, and may be discontinued.

11. Intellectual Property

The Services (including software, interfaces, design, and documentation) are owned by Stacklink or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, Stacklink reserves all rights.

"Stacklink" and related names and logos are trademarks of Stacklink. You may not use Stacklink's trademarks without permission, except as allowed by law.

12. Suspension and Termination

12.1 Suspension/Termination by Stacklink

Stacklink may suspend or terminate your access to the Services immediately if:

  • You breach these Terms;
  • Your use poses a security risk or could harm the Services, other users, or third parties;
  • Stacklink is required to do so by law; or
  • Fees are past due (if applicable).

12.2 Termination by You

You may stop using the Services at any time. Workspace Admins may remove users, disconnect Integrations, or delete workspaces as supported by the Services.

12.3 Effect of Termination

Upon termination, your right to access and use the Services ends. Stacklink will handle Customer Content and Account Data in accordance with the Privacy Policy and any applicable customer agreement governing deletion/return (if any).

13. Disclaimers

THE SERVICES AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, STACKLINK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

STACKLINK DOES NOT WARRANT THAT THE SERVICES OR OUTPUT WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR MEET YOUR REQUIREMENTS, OR THAT OUTPUT WILL BE ACCURATE OR COMPLETE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • STACKLINK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • STACKLINK'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY THE CUSTOMER TO STACKLINK FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations. In such cases, the above limitations apply to the greatest extent permitted by law.

15. Indemnification

You will indemnify, defend, and hold harmless Stacklink and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your or your Users' access to or use of the Services;
  • Customer Content (including allegations it violates law or third-party rights);
  • Your breach of these Terms; or
  • Your misuse of Output.

16. Changes to These Terms

Stacklink may update these Terms from time to time. If changes are material, Stacklink may provide notice through the Services or otherwise. Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms.

17. Miscellaneous

  • Entire agreement: These Terms and any policies referenced in the Services (including the Privacy Policy) form the entire agreement governing your use of the Services, unless superseded by a separate written agreement between Stacklink and a Customer.
  • Severability: If any provision is unenforceable, the remaining provisions remain in full force and effect.
  • No waiver: Failure to enforce any provision is not a waiver.
  • Assignment: You may not assign these Terms without Stacklink's consent. Stacklink may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
  • Force majeure: Stacklink is not responsible for delays or failures due to events beyond reasonable control.
